These Terms govern access to TallyhubGH websites, the business dashboard, desktop and mobile apps, hosted payment pages, marketplace storefronts, APIs, and partner tools. By using any part of the platform, you agree to these Terms and our Privacy and Cookies policies.

1Acceptance of Terms

By creating an account, downloading our apps, accepting an invitation, completing a hosted checkout, or otherwise accessing TallyhubGH, you enter a binding agreement with TallyhubGH. If you use the Service on behalf of a business, you represent that you have authority to bind that organization. Continued use after we post updated Terms constitutes acceptance of the revised Terms where permitted by law.

2Definitions

  • Service: TallyhubGH websites, dashboard, desktop app (Tauri), iOS and Android apps, customer and organization apps, hosted /pay checkout, customer display, marketplace storefronts, APIs, webhooks, and related tools.
  • Customer / You: the business, organization, or authorized individual using the Service under a tenant account.
  • Tenant / Workspace: your isolated business container in the platform, including locations, users, roles, and configuration.
  • Content: data, files, catalog entries, receipts, reports, messages, and records you or your users submit or generate in the Service.
  • End customer: a person who buys from or interacts with you through POS, hosted checkout, marketplace, or customer-facing apps. You are responsible for your relationship with end customers.
  • Subscription: a paid or trial plan (Free, Starter, Growth, Pro, or custom builder) billed in GHS or as otherwise stated at checkout.

3Platform Scope

  • Web dashboard: inventory, sales, purchases, POS, wholesale dispatch and settlements, reports, billing, team roles, integrations, and AI-assisted workflows.
  • Desktop app: offline-capable POS with local SQLite storage and cloud sync when connectivity returns.
  • Mobile apps: staff, customer, and organization apps for field sales, order tracking, and mobile operations.
  • Hosted checkout (/pay): public payment pages for invoices and checkout sessions, including card, mobile money, and bank transfer via Paystack.
  • Marketplace / storefront: optional online catalog and order surfaces connected to your inventory and fulfillment flows.
  • Partner portal: referral program tools for partners who introduce merchants to TallyhubGH.

4Eligibility and Accounts

You must provide accurate registration information and keep credentials secure. You are responsible for all activity under your account, including actions by invited users assigned roles (owner, admin, manager, cashier, and other RBAC roles). Multi-factor and verification flows may be required for sensitive actions. Notify us promptly of unauthorized access.

5Permitted Service Use

  • Use the platform only for lawful retail, wholesale, inventory, and business operations.
  • Do not misuse, disrupt, reverse engineer, decompile, or attempt unauthorized access to systems or other tenants' data.
  • Do not upload malicious code, infringing content, or material that violates third-party rights.
  • You are responsible for the accuracy, legality, and retention of business data you enter, including product, pricing, tax, and customer records.
  • Assign roles appropriately; you remain liable for actions taken by users you invite.
  • Use built-in export and reporting features for backups and compliance where required in your jurisdiction.

6Acceptable Use Restrictions

  • No scraping, abusive automation, credential sharing beyond licensed seats, or attempts to exceed plan limits.
  • No unlawful surveillance, phishing, spam, malware distribution, or abusive messaging through integrated channels.
  • No attempts to bypass billing controls, security checks, tenant isolation, or usage metering.
  • No use of payment features for prohibited goods, money laundering, or transactions outside supported regions and methods.
  • No use of AI-assisted features to generate unlawful content, impersonate others, or circumvent product safeguards.

7Subscriptions, Fees, and Billing

Paid services are billed according to your selected plan, billing cycle (monthly or annual), seat count, and add-ons. Prices are shown in Ghana Cedis (GHS) unless otherwise stated. Custom plan builder selections are charged as configured at checkout.

Payments and subscription lifecycle events are processed through Paystack and related providers. Unless required by law, fees for active billing periods are non-refundable once consumed or invoiced.

You authorize us and our payment providers to charge your selected payment method for recurring charges, taxes, approved add-ons, and failed-payment retries. Failed payment may result in restricted access until resolved.

8Trials and Plan Changes

Trial eligibility, duration, and feature access may vary by campaign, region, or account status. Upgrades may take effect immediately; downgrades may apply at period boundaries depending on billing settings. We may modify plan features, limits, or pricing with reasonable notice where required.

9POS, Checkout, and Payments

  • Paystack: card, mobile money (MoMo), and bank transfer flows are subject to Paystack's terms and availability in Ghana.
  • Hosted checkout: payment links and /pay sessions let end customers pay invoices you issue; you are responsible for amounts, descriptions, and fulfillment.
  • Wholesale settlements: dispatch and warehouse settlement features support partial and full payments; reconciliation records remain your commercial records.
  • Payout subaccounts: where enabled, payouts to your linked accounts depend on verified Paystack subaccount setup and provider rules.
  • Merchant of record: for transactions with your end customers, you are typically the merchant of record unless we explicitly state otherwise in writing.

10Offline Desktop and Sync

The desktop app may operate offline with local storage. Sync conflicts are resolved according to platform rules when connectivity returns. You are responsible for device security on machines running offline POS. We are not liable for data loss caused by device failure, tampering, or prolonged offline periods without backup.

11AI-Assisted Features

AI assistant, catalog import, and similar features are provided for productivity. Outputs may be inaccurate or incomplete. You must review AI-generated content before relying on it for pricing, compliance, or customer communications. We may log prompts and outputs to improve safety and quality subject to our Privacy Policy.

12Partner Program

Partners who refer merchants agree to accurate representation of TallyhubGH, compliance with applicable marketing laws, and our partner program rules. Referral commissions, if any, are governed by separate partner terms and may change with notice. Fraudulent referrals or self-referrals may result in forfeiture and account action.

13Availability and Changes

We target reliable uptime for cloud services but do not guarantee uninterrupted access. Maintenance, third-party outages, and force majeure may affect availability. We may add, modify, or retire features; material reductions to paid features will be communicated where reasonably practicable.

14Data, Security, and Backups

We implement tenant isolation, role-based access, encryption in transit, audit logging, and monitoring appropriate to a business SaaS platform.

No system is risk-free. Maintain your own exports and operational backups for critical records. You must comply with tax, accounting, and retail regulations applicable to your business and end customers.

15Intellectual Property

TallyhubGH software, branding, documentation, and templates remain our property or that of licensors. You retain ownership of your business Content. You grant us a limited license to host, process, transmit, and display Content solely to provide, secure, and improve the Service.

16Third-Party Services

Integrations (Paystack, cloud hosting, analytics, messaging, and app stores) are governed by their own terms and privacy notices. We are not responsible for third-party downtime, policy changes, or actions outside our reasonable control. Your use of third-party services may require separate accounts and fees.

17Suspension and Termination

You may stop using the Service at any time. We may suspend or terminate access for material breach, security risk, payment failure, fraudulent activity, or unlawful use. Upon termination, access ends but certain provisions (fees owed, indemnity, liability limits, dispute resolution) survive. Export your data before closure where the product provides export tools.

18Indemnification

You agree to indemnify and hold TallyhubGH harmless from claims, damages, fines, and expenses arising from your unlawful use, your Content, your end-customer disputes, payment disputes where you are merchant of record, or your breach of these Terms.

19Limitation of Liability

To the maximum extent permitted by law, TallyhubGH is not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, goodwill, or data arising from use of the Service. Our aggregate liability for direct damages is limited to fees paid by you for the Service in the twelve (12) months before the claim, except where law prohibits such limits.

20Disputes and Governing Law

These Terms are governed by the laws of Ghana, without regard to conflict-of-law rules, except where mandatory consumer protections in your jurisdiction apply. Disputes should first be raised through good-faith support escalation. Where enforceable, courts in Accra, Ghana have exclusive jurisdiction, unless otherwise required by law.

21Changes to Terms

We may revise these Terms periodically. Material changes will be posted with an updated date and may be communicated via product notices, email, or in-app banners. Continued use after the effective date constitutes acceptance where permitted.
